1. Acceptance of Terms

By accessing or using the GraceFinance platform ("Service"), operated by Grace Holdings LLC, a Massachusetts limited liability company ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice within the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

GraceFinance is a behavioral finance intelligence platform. The Service enables users to complete daily financial behavior check-ins, receive a Financial Confidence Score ("FCS") on a 0–100 scale, view personal financial confidence trends, and interact with an AI-powered behavioral insight engine ("Grace AI").

The platform also aggregates anonymized user scores to produce the GraceFinance Composite Index, a macro-level indicator reflecting aggregate financial confidence across the platform's user base.

3. Account Registration

To use the Service, you must create an account with a valid email address and secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years of age to create an account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

4. Subscription Plans and Billing

4.1 Subscription Tiers

GraceFinance offers the following subscription plans:

Pricing is listed in United States dollars and is subject to change. We will provide at least 30 days' notice before any price increase takes effect on your account.

4.2 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"), a PCI-DSS Level 1 certified payment processor. By subscribing to a paid plan, you authorize Stripe to charge the payment method you provide. GraceFinance does not store your full credit card number, CVV, or other sensitive payment credentials on our servers.

4.3 Automatic Renewal

All paid subscriptions renew automatically at the end of each billing cycle (monthly or annually) unless canceled before the renewal date. You will be charged the then-current subscription rate at the time of renewal. You may cancel auto-renewal at any time through your account settings or the Stripe Customer Portal.

4.4 Billing Cycle

Your billing cycle begins on the date you subscribe to a paid plan. Monthly subscriptions renew on the same calendar day each month. Annual subscriptions renew on the anniversary of the original subscription date.

4.5 Failed Payments

If a payment fails, we may reattempt the charge in accordance with Stripe's retry schedule. If payment cannot be collected after multiple attempts, your subscription may be downgraded to the Free tier until a valid payment method is provided.

5. AI Usage Limits and Fair Use

5.1 Grace AI Usage Limits

Grace AI insights are subject to per-tier usage limits to ensure equitable access and protect platform infrastructure:

Daily limits are enforced regardless of remaining weekly or monthly allocation. Unused insights do not carry over between billing periods.

5.2 Rate Limiting

All users are subject to a system-wide rate limit of 10 AI requests per minute. Requests exceeding this threshold will be temporarily blocked.

5.3 Fair Use Policy

Grace AI insights are provided subject to a fair-use policy designed to maintain system integrity and platform performance. GraceFinance reserves the right to adjust usage limits at any time to ensure equitable access for all users. We will provide reasonable notice of any material changes to usage limits.

6. Prohibited Conduct and Account Suspension

You agree not to engage in any of the following prohibited activities:

• Using automated scripts, bots, or tools to interact with the Service or submit check-ins
• Attempting to circumvent rate limits, usage caps, or other system protections
• Accessing the Service from an excessive number of IP addresses in short time windows for the purpose of masking automated activity
• Submitting fraudulent, misleading, or artificially generated check-in data
• Reverse-engineering, decompiling, or attempting to extract source code from the Service
• Reselling, sublicensing, or redistributing access to the Service or Grace AI outputs
• Using the Service in any manner that violates applicable law or regulation

6.1 Suspicious Activity Detection

GraceFinance employs automated monitoring to detect abnormal usage patterns, including excessive AI request frequency, automated check-in submission patterns, and logins from a high number of distinct IP addresses within short time windows. Accounts exhibiting such patterns may be subject to temporary cooldown periods, request throttling, or manual review.

6.2 Account Suspension and Termination

We reserve the right to suspend or terminate any account that violates these Terms, engages in prohibited conduct, or poses a risk to platform integrity. In the event of suspension or termination for cause, you will not be entitled to a refund of any prepaid subscription fees.

7. Intellectual Property

All content, features, and functionality of the GraceFinance platform, including but not limited to the Financial Confidence Score, GraceFinance Composite Index, Grace AI, user interface design, software, text, graphics, logos, and trademarks, are the exclusive property of Grace Holdings LLC and are protected by United States and international copyright, trademark, and intellectual property laws.

Your use of the Service does not grant you any ownership interest in any intellectual property associated with the platform. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without prior written consent from Grace Holdings LLC.

8. User Data and the Composite Index

By using the Service, you understand and agree that your Financial Confidence Score and behavioral check-in data may be anonymized and aggregated for the purpose of calculating the GraceFinance Composite Index. No personally identifiable information is included in the Composite Index. For full details on data handling, please refer to our Privacy Policy.

9. Third-Party Services

The Service integrates with third-party providers, including Stripe for payment processing. Your use of these third-party services is subject to their respective terms and privacy policies. GraceFinance is not responsible for the practices or availability of third-party services.

10. Disclaimer of Financial Advice

GraceFinance is an informational platform that provides behavioral insights related to personal financial confidence. The Service is not a registered investment adviser, broker-dealer, financial planner, tax preparer, or legal counsel.

The Financial Confidence Score, GraceFinance Composite Index, Grace AI outputs, and all other content provided through the Service are for informational and educational purposes only. They do not constitute, and should not be construed as, financial advice, investment advice, tax advice, or legal advice.

You should consult with a qualified professional before making any financial decisions. GraceFinance expressly disclaims any liability for actions taken or not taken based on information provided through the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Grace Holdings LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total aggregate liability to you for all claims arising out of or related to the Service exceed the greater of (a) the total amount you have paid to GraceFinance in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Grace Holdings LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may terminate your account at any time by canceling your subscription and contacting us at support@gracefinance.co. Upon termination, your right to access the Service will cease. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration shall take place in Massachusetts.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Grace Holdings LLC with respect to your use of the Service.
